These terms and conditions set out the basis upon which you can visit our website and regulates how you can use our site.
By using our website, and when you use our Service, you accept that you have read and understood and agree to comply with these terms and conditions, which includes our privacy & cookie notice.
If you disagree with any part of these terms and conditions, please do not use our website and the services it offers.
Agreement
When you visit the Site or when you use our Service, the following Terms will apply and will, together, form the agreement between you and us. They have 5 parts: Definitions, General Terms, Service Terms (Agency), Service Terms (Client), and Privacy Policy (which is incorporated into these Terms and includes our cookies notice and the section on where data is stored and international access).
Definitions
We, Us — Care Hires Ltd, incorporated and registered in England and Wales with company number 09319071, registered office at The Dock, Exploration Drive, Leicester, LE4 5NU
Site, Website — www.carehires.com
Account — the Account you create when you register as a User
Content — any text, graphics, images, audio, video, software, data compilations and any other form of information on the Site
Service — the service we offer through the Site
User — any person, firm or company using our Service
Visitor — any visitor to the Site
General Terms
1. You Promise Us
You agree that: you are over the age of 18 years; you will have only one Account with us; you will not pretend to be someone else; you will not use robots, spiders, scrapers or similar things on the Site; you will not try to get around any access restrictions; you will not do anything that might cause our systems to crash; you will not steal the Site or any part of it; you will not try to modify, decompile, disassemble or reverse engineer any of our systems; and you will not use our trademarks and/or designs without asking us.
2. Intellectual Property
We and our business partners own all of the IP on the Site. Neither the Site nor the Content may be copied, duplicated, reproduced, modified, sold or used without our written consent. All trademarks and logos on the Site are our property and are protected by trademark and copyright.
3. Disclaimers
We are not able to promise that the Site will work how you expect it to work. We cannot guarantee that the Site will work with your device or will be secure. Whilst we take reasonable precautions to ensure accuracy, we cannot guarantee it. Any advice we offer is only general in nature. If using our Site causes your device issues, unless caused deliberately or recklessly, we have no responsibility to put them right.
4. Posts
When using any forums, feedback, review or other spaces on the Site, you must not use obscene or vulgar language, publish pornographic or unlawful material, or post content that is abusive, threatening, harassing, defamatory, racist, ageist or sexist. We have the absolute right to moderate all Posts and remove any we do not want. Any Post you make will be considered non-confidential and non-proprietary.
5. Availability of the Site
We never guarantee that the Site will be available at all times. We have the right to change the Site and the services it offers, suspend it or stop it at any time, without compensating you.
6. Limitation of Liability
As far as we are allowed by law we deny liability for any losses of any kind which you incur from visiting the Site or using the Services. We will not be liable for loss of profits, sales, business, revenue, business interruption, loss of anticipated savings, loss of business opportunity, goodwill or reputation, or any indirect or consequential loss or damage. Nothing in these Terms excludes liability for death or personal injury resulting from negligence, or fraud.
7. Links to Other Websites
We do not control any of the websites we link to and are not responsible for their content. A link to another site does not mean we endorse or recommend that site.
8. Force Majeure
We will not be liable for any failure or delay in performing our obligations if that failure or delay arises because of any cause beyond our reasonable control, including power failure, strikes, riots, fire, flood, storms, earthquakes, acts of terrorism, acts of war, pandemic, epidemic or other natural disaster.
9. Transferring Rights
We may transfer our rights and obligations under these Terms to a third party. You may not transfer your rights and obligations.
10. Modifications
These Terms will change from time to time. Each time you visit the Site, you agree to check this page for any changes.
11. Additional Terms
This Agreement operates under the laws of England and Wales. We are not entering into a partnership or co-venture with you. These Terms supersede all previous terms and represent the entire understanding between you and us. If a Court says any part of these Terms is unenforceable, the rest will stand.
12. Data Protection and International Access
12.1 Care Hires Limited is the controller of personal data processed through the Site and the Service. Our Privacy Policy explains what personal data we collect, why we process it, who we share it with, how long we keep it, and your rights. These Terms incorporate the Privacy Policy.
12.2 All personal data processed through the Site and the Service is stored on secure servers in the United Kingdom. Personal data is not stored or replicated outside the United Kingdom.
12.3 Some of our operational, technical and compliance support functions are performed by authorised staff located outside the United Kingdom. The countries in which those staff are currently located are listed in the international access section of our Privacy Policy, which we keep up to date. These staff access our UK-hosted systems remotely through secure, encrypted connections under role-based controls. This access is an international transfer under UK data protection law, and it is safeguarded by an International Data Transfer Agreement in the form issued by the Information Commissioner, supported by a completed transfer risk assessment and binding contractual controls. No personal data may be downloaded to or stored on any device outside the United Kingdom.
12.4 Further information about these safeguards, including copies of the relevant transfer documentation, is available on request from dpo@carehires.com. Where we process personal data for you under a separate written contract or data processing agreement, that contract applies in addition to these Terms.
12.5 If there is any inconsistency between these Terms and the Privacy Policy in relation to personal data, the Privacy Policy prevails.
Service Terms — Agency
These Terms apply if you wish to become an Agency working with Care Hires.
Commencement
The Agreement will come into effect on the Commencement Date and will remain in force for the period of one month and, thereafter, will continue until it is terminated under the provisions of the termination clause.
Provision of Services
We will use reasonable endeavours to locate and engage Clients for whom you can provide the Services. You will provide the Services in a professional manner and with reasonable care and attention and at all times in a manner which safeguards and enhances our reputation. You are responsible for organising how you provide the Services. You will supply us with full details about your Agency Staff and proof of right to work in the United Kingdom and of any qualifications your Agency Staff claim to have.
Fees
We will receive payment of all Fees and other monies due to you from the Client in respect of any Assignment. We will operate a self-billing process and will pay all sums due to you based on the payment terms agreed for each Client contract, in arrears by bank transfer.
Confidential Information
You undertake to keep confidential all Confidential Information, not disclose it to any other party, and not use it for any purpose other than as contemplated by the Agreement. These provisions continue after termination.
Your Status
You are an independent contractor. Nothing in the Agreement makes you our employee, agent or partner. You are exclusively responsible for the payment of any National Insurance contributions, income or corporation tax, duties and VAT.
Indemnity and Liability
You will at all times carry full and effective indemnity insurance. You will indemnify us against all liability, loss, damage, costs and expense arising from your performance or breach of obligations. Neither party will be liable for indirect or consequential losses. Nothing will limit liability for death or personal injury, fraud or any other liability which cannot be excluded by law.
Termination
Either party may end the Agreement by giving 4 weeks' prior written notice to the other. We may end or suspend the Agreement immediately if: your Agency Staff lose the right to work in the UK; a Client dies or no longer needs Services; a Client terminates their Contract; you fail to comply with obligations; or your business dissolves or becomes insolvent.
Non-Competition
During the Restricted Period (the term of the Agreement and 12 months after), you will not cause any of our employees to leave our service, undertake similar work for any Client except through us, or represent yourself as connected with the Company.
Service Terms — Care Provider
These Terms apply if you wish to use Care Hires to engage Agency staff.
What We Do
We act as your neutral vendor in finding you professional Agencies to undertake the Assignment you request. We do not employ the Caregivers or Agencies. As far as we can, we will check references, verify credentials and qualifications and verify DBS checks. We will arrange to receive from you the Fees due to the Agency and are responsible for paying the Agency on your behalf. We do not guarantee that any Agency/Caregiver will be suitable for you.
Fees
We will invoice you based on the agreement set, for the Fees due for the time period completed on the Assignment. We will take payment through bank transfer and our payment provider. In the event that we do not receive payment based on payment terms, we have the right to ask the Agency/Caregiver to suspend Services until all monies due have been paid.
Your Home / Premises
Your premises will, at all times when a Caregiver is present, be as safe as you can reasonably make them. You will inform the Agency/Caregiver about any risks or hazards, access problems, pets, equipment problems, or infectious diseases.
Your Relationship with the Agency
Our role is to introduce the Agency to you and to help manage the arrangement. Whilst we perform background checks, we do not guarantee the reliability, suitability or quality of the care Agency. The contract for services is directly between you and the Agency/Caregiver, subject to these terms. You agree that all information you provide to us is true, accurate, complete and not misleading.
Ending the Agreement
You may end the Agreement during the first week by giving 2 days' written notice. Otherwise, both you and we may end this Agreement by giving at least 14 days' written notice. We can end with immediate effect if you make a serious breach, do not pay monies due, or are declared bankrupt. Ending this Agreement does not end your Agreement with the Caregiver.
Liability
We will be responsible for any foreseeable loss or damage resulting from our breach or negligence. We will not be responsible for any loss or damage that is not foreseeable. Nothing in these Terms will limit liability for death or personal injury caused by negligence or for fraud.
Law and Jurisdiction
This Agreement and the relationship between you and us will be governed by English Law. Any disputes will be subject to the jurisdiction of the courts of England and Wales.
